About Tom Dye

Tom specialises in IP, technology, commercial and data matters, with a focus on IP and technology-driven M&A and complex commercial transactions, including multi-jurisdictional business separation projects, strategic collaborations, and licensing, manufacturing and supply arrangements.  He advises clients across a range of sectors, primarily technology, consumer and retail.

During his time at Freshfields, Tom has been seconded to the firm’s Washington DC office, and he has also spent a year working in-house as commercial counsel at a leading international sports data and media business.

  • Advising London Stock Exchange Group on its 10-year, multi-billion pound strategic collaboration with Microsoft for next-generation data, analytics and cloud infrastructure solutions
  • Advising a leading West Coast hardware and software business on strategic technology and software acquisitions, including in relation to AI applications and semiconductors
  • Advising Liberty Global, the world’s largest television and broadband company, on the technology and separation aspects of the sale of its operations in central and eastern Europe to Vodafone for a total enterprise value of approximately €19bn
  • Advising the joint administrators of the Arcadia retail group on the sale of Topshop, Topman, Miss Selfridge and other well-known clothing brands to ASOS, Boohoo and City Chic
  • Advising specialty chemicals manufacturer Croda on IP, supply and other commercial arrangements in connection with the separation and sale of the majority of its performance technologies and industrial chemicals businesses to Cargill
  • Advising ABB on the IP, technology, supply and other commercial and separation aspects of the multi-billion pound sale of its power grids division to Hitachi
  • Advising multinational ticket exchange viagogo on its acquisition of StubHub and associated carve-out of its ex-US platform business
  • Advising a multinational beauty business on its strategic long term exclusive licence of a major luxury fashion brand for fragrances and make-up
  • Advising AB InBev on the IP, technology and separation aspects of the sale of the Peroni, Grolsch and Meantime businesses to the Asahi group in connection with AB InBev’s £78.4bn merger with SABMiller
  • Advising Tesco on the IP, technology and separation aspects of the multi-billion pound sales of its South Korean, Thai and Malaysian businesses
  • Advising BT on the IP and branding aspects of its £12.5bn acquisition of mobile network operator EE
  • Advising United Biscuits on the sales of well-known snacks and biscuits businesses, including KP, McCoys and Delacre, to Intersnack and Ferrero, including various related multi-jurisdictional commercial arrangements
  • Advising the RELX group on the provision of technology and data-related services to a consortium of banks to establish and operate a credit intelligence system in Brazil
