Freshfields advises Terra Firma on the equity arrangements of its agreement to acquire Parmaco

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Terra Firma Capital Partners (‘Terra Firma’), a leading European private equity firm, on the consortium and equity arrangements of its agreement to acquire Finnish modular building company Parmaco Oy (‘Parmaco’), alongside private capital manager Metric Capital and Hong Kong investment firm Sun Hung Kai & Co.

The acquisition, which is being made through Terra Firma’s new fund Terra Firma Special Opportunities Fund IV, is subject to customary regulatory conditions and is expected to close in the fourth quarter of 2018.

Freshfields has a longstanding relationship with Terra Firma. In July last year, the firm advised Terra Firma on the £4bn refinancing and recapitalisation of Annington Homes.

The Freshfields team was led by partner Tim Wilmot who advised on the equity arrangements. Mark Watterson advised on the fund aspects of the transaction.
