Freshfields Handles Massive Equity PIPE for Emerald Special Committee
Freshfields is representing the Special Committee of the Board of Directors of Emerald Holdings, a leading trade show operator, in an extraordinary transaction that involves the issuance of preferred stock, for an aggregate subscription price of nearly twice the existing market cap of Emerald, to the company’s controlling stockholder, Onex, and the use of innovative structuring to assure the proceeds arrive expeditiously, while including safeguards and opportunities to participate for the minority stockholders.The Freshfields team includes corporate partners Ethan Klingsberg and Paul Tiger, corporate counsel Andrea Basham, corporate associates Vinita Sithapathy and Chase Lax, tax partner Claude Stansbury and litigation partner Meredith Kotler.
