Freshfields advises on secondary listing of Huazhu Group Ltd. on HKSE

Freshfields Bruckhaus Deringer (‘Freshfields’) has provided Hong Kong and US law advice to the underwriters of the secondary listing of shares in Huazhu Group Ltd. (‘Huazhu Group’) on the Hong Kong Stock Exchange (‘HKSE’). The transaction raised proceeds of US$783m (before the exercise of the Over-allotment Option). Trading in the shares commenced today (22 September 2020).
 
Huazhu Group is a leading, fast-growing multi-brand hotel group in China with international operations. As of the end of 2019, it was China’s second largest hotel group and the world’s ninth largest in terms of number of hotel rooms operated, according to industry research. Its American Depositary Shares have been listed on the NASDAQ since 2010. Huazhu Group is also the fifth US-listed company to complete a secondary listing in Hong Kong under Chapter 19C of the Hong Kong Listing Rules. 
 
The Freshfields team advising on the transaction was led by partner and head of China ECM Richard Wang. US law advice was provided by partners Calvin Lai and Michael Levitt and counsels Jeremy Barr and Brian Lewis.
