Freshfields advises ams-OSRAM on its sale of Traxon Technologies

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) is advising ams-OSRAM AG on the sale of its division Traxon Technologies to Prosperity Lamps and Component Limited (‘Prosperity Group’).

Traxon Technologies is a leading global provider of complete solutions for dynamic media and facade lighting. Headquartered in Hong Kong and with development centres in China and Germany, the company offers sustainable and intelligent lighting solutions, including the benchmark for dynamic lighting controls, e:cue. The acquirer, Prosperity Group, is a global conglomerate headquartered in Hong Kong.

ams-OSRAM will continue to focus on the high technology semiconductor business and the transaction represents a milestone in the implementation of ams-OSRAM’s strategy to focus on core technology areas in illumination, visualization and sensing and to divest businesses that are not core to the company’s strategy. The transaction is subject to customary closing conditions.

Freshfields has advised ams-OSRAM AG extensively on the structuring and negotiation of the transaction and will also support the upcoming carve-out. The advice includes German and Chinese corporate law as well as Hong Kong corporate and financial law matters. Freshfields is also advising on intellectual property law questions as well as on tax law and regulatory aspects.
