Freshfields advises RWE on the refocussing of its activities

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is advising RWE AG (‘RWE’) in its transition to become a leading European electricity producer by means of renewable energy. 
 
RWE and E.ON SE (‘E.ON’) agreed that RWE will sell its 76.8 per cent stake in innogy to E.ON for a 16.67 per cent share in E.ON; substantially all of E.ON’s renewables business and innogy’s renewables business. Additionally, RWE will receive the minority stakes currently held by E.ON’s subsidiary PreussenElektra in the Emsland and Gundremmingen power plants, innogy’s gas storage assets and its stake in the Austrian energy utility Kelag.
 
As a result of this deal, RWE is set to become the third largest European renewable energy business, and the second largest in wind power specifically. The transaction is subject to various conditions, including approval from the relevant authorities. 
 
The in-house legal team at RWE is led by Dr. Ulrich Rust (General Counsel) and includes Dr. Claas Westermann (Head of M&A Legal), Dr. Christian Kuhn (Head of Corporate, Capital Market and Civil Law), Dr. Florian Fischer (Head of Competition Law & Energy Law) and Thurid Wagner-Henk (Senior Legal Counsel, RWE Power).
