Freshfields advises Bertelsmann/Arvato on the Combination of its Customer Relationship Management Business with Saham

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has advised Bertelsmann, a leading global media, services and education company based in Gütersloh, Germany, on its initial disposal considerations and the business combination of significant parts of its worldwide customer relationship/services management (CRM) business, operated by its service division Arvato, with the pan-African Saham Group (‘Saham’).

The new global CRM services company with 48,000 employees in 25 countries and a market-leading position in Europe, Africa and the Middle East is expected to create revenues of approx. € 1.2 billion per year. Completion of the transaction is expected in early 2019 and is subject to customary regulatory approval requirements and consultation procedures with employee representatives. Each party would hold 50 percent in the combined CRM business.

The Freshfields team was led by corporate partner Gregor von Bonin. Partner Klaus Beucher advised on IP aspects of the deal, and partners Tim Wilmot, Claire Wills and Alan Mason advised on corporate aspects of the deal.
