Client successes
Advising BG Group on the £47bn recommended cash and share offer by Royal Dutch Shell plc.
This is the largest energy sector transaction of all time, after Exxon’s merger with Mobil, and, at the time, it was the largest ever takeover of a UK plc.
Advising Essar Energy on its $12.9bn sale of 49 percent to Rosneft, and a further 49 percent to a consortium of international investors, including Trafigura and UCP.
The deal will be the single largest tranche of foreign direct investment in India. Essar Oil operates India’s second largest refinery and largest private sector oil retail network. The transaction will also include the Vadinar port and related infrastructure.
Representing ConocoPhillips in its precedent-setting ICSID arbitration against Venezuela for the expropriation of three oil investments collectively worth tens of billions of dollars, in which a favorable award on liability has recently been obtained.
The case is one of the largest investment treaty arbitrations in history.
Advising Vattenfall on the sale of its German lignite operations to Czech Energy company EPH and its financial partner PPF Investments Ltd.
The sale is the largest and most complex transaction in the European energy sector in 2016.
Advising Xstrata on its $90bn merger with Glencore – the largest transaction of all time in the mining industry.
The transaction created a vertically integrated super-major, fundamentally changing the industry and cementing our reputation for handling the biggest, most complex deals in the market.
Advising Ontario Teachers’ Pension Plan and the Public Sector Pension Plan of Canada on their joint venture with Santander to acquire a global portfolio of Santander’s renewable energy projects.
The portfolio includes onshore wind and solar assets located in the UK, Europe, Central and South America, and the United States, valued at over $2bn and substantial commitments for future projects.
Advising the lenders in relation to the financing of a Greenfield LNG-to-Power project in the Republic of Malta.
The project includes the construction of a 200MW CCGT plant and LNG receiving, storage and regasification facilities. The newbuild power plant will be the first owned and operated by the private sector in Malta.
