Freshfields advises Berry Global on the recommended cash acquisition of RPC Group

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) is advising Berry Global Group, Inc. (‘Berry’) on its recommended all-cash offer for RPC Group plc (‘RPC’) listed on the London Stock Exchange.

Berry is a Fortune 500 global manufacturer and marketer of plastic packaging products, with 140 facilities and approximately 24,000 employees across the world. It is listed on the New York Stock Exchange under the symbol “BERY”.

RPC is a leading international design and engineering company of plastic products for both packaging and selected non-packaging markets.  

RPC announced today that it has withdrawn its recommendation of an offer made on 23 January 2019 by Rome Bidco UK Limited (a company formed on behalf of funds managed by Apollo Management IX, L.P.), in order to recommend Berry’s offer. 

The acquisition values RPC at approximately £3.3bn and is conditional on the receipt of antitrust, shareholder and court approvals.  It is expected to close early in the third quarter of 2019.
