Freshfields advises Razor on its acquisition of US e-commerce aggregator Perch and related financing transactions

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) is advising Razor Group (‘Razor’) on the acquisition of Perch, a leading e-commerce aggregator in the US, on Razor’s concurrent Series D funding round led by Presight Capital, and on the refinancing of the capital structure for the combined group.

According to Razor, the combined group will manage an assortment of more than 40,000 products across various online channels in the US, UK, EU, and Latin America, with the aim to reach US$ 1 billion in topline revenue in the medium-term and to create a global technology and e-commerce powerhouse.

Berlin-based Razor was founded by e-commerce experts and serial founders Tushar Ahluwalia, Christoph Gamon, Shrestha Chowdhury and Dr. Oliver Dlugosch. It acquires and operates profitable Amazon businesses and other online marketplace sellers, pairing growth capital with e-commerce and technology expertise to help the acquired businesses reach the next stage in their development. Razor defines itself as a technology-driven e-commerce business to push world-class consumer products in relevant categories into all leading marketplaces globally.

Freshfields has been advising Razor on various debt and equity financing transactions since its foundation and also on its acquisitions of Latin America based e-commerce company Valoreo in 2022 and of Germany based The Stryze Group in 2023.

The transatlantic Freshfields team is working closely again with Razor’s inhouse legal team around General Counsel André Schneider and Legal Counsel Hans von der Heyde, who played a lead role in the legal and commercial negotiations, the tax structuring of the various transactions, and the overall project coordination together with inhouse M&A specialist Ben Li.
