Freshfields advises ams OSRAM on the sale of its Digital Systems business unit

Global law firm Freshfields Bruckhaus Deringer (‘Freshfields’) is advising ams OSRAM on the sale of its Digital Systems business unit in Europe and Asia to Inventronics, a global provider of LED drivers whose shares are listed on the Shenzhen Stock Exchange, China.

The ams OSRAM business unit Digital Systems in Europe and Asia focusses on the development of power supplies with related light modules, software and connectable components for traditional and LED lighting. These are essential components for luminaires in professional lighting applications to enable smart and digitised lighting solutions.

Freshfields comprehensively advised ams OSRAM on the structuring and negotiation of the transaction and will also provide legal support for the upcoming carve-out. The advice includes German civil and corporate law as well as Chinese corporate and capital markets law matters. In addition, Freshfields is advising on intellectual property law questions as well as on tax law and regulatory aspects of the transaction.
